Effective Date: October 1, 2026
Contracting Entity: Dataicraft (Private) Limited ("Dataicraft", "Company", "we", "us")

1. Acceptance of Terms

By signing an Order Form, executing an Enterprise License Agreement, accessing the administrative cloud console, or deploying the Novus ERP application within your corporate infrastructure, your organization ("Customer", "Subscriber") agrees to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or legal entity, you represent that you possess the legal authority to bind such entity.

2. Licensing and Deployment Options

Dataicraft provides Novus ERP under two primary enterprise deployment models:

  • Managed Cloud SaaS: Hosted in dedicated enterprise virtual private clouds managed, monitored, and maintained by Dataicraft with automated daily backups and rolling software updates.
  • Dedicated / On-Premises Enterprise: Deployed onto customer-managed private cloud infrastructure (AWS, Azure, GCP, or bare-metal data centers) subject to annual enterprise maintenance and support agreements.

All licenses granted are non-exclusive, non-transferable, and limited to the module tiers, company entities, and user seats specified in your formal executed commercial agreement.

3. User Roles, RBAC, and Account Security

Novus ERP incorporates granular Role-Based Access Control (RBAC), multi-factor authentication (MFA), and mandatory approval workflows. The Customer is responsible for:

  • Assigning administrative credentials and user privileges strictly on a need-to-know operational basis.
  • Maintaining the confidentiality of employee login credentials and preventing shared or generic accounts for sensitive accounting operations.
  • Promptly revoking access permissions for terminated employees or contractors.

4. Regulatory Compliance & FBR Invoicing

Novus ERP provides technical integration tools for Pakistani statutory requirements, including the FBR Digital Invoicing API, provincial withholding tax schedules, and sales tax returns.

Statutory Accountability Disclaimer

While Novus ERP formats, calculates, and transmits invoices in accordance with published FBR digital invoicing schemas, the Customer organization remains legally accountable for the underlying truthfulness of sales declarations, NTN/CNIC registrations, product HS code classifications, and final statutory tax filings with the Federal Board of Revenue and provincial revenue authorities (PRA, SRB, BRA, KPRA).

5. Artificial Intelligence Capabilities and Boundaries

Novus AI provides natural language insights, conversational data mart exploration, and automated variance analysis. Customer acknowledges and agrees that:

  • Novus AI acts as an analytical decision-support tool. It does not replace certified chartered accountants, tax auditors, or legal counsel.
  • Transaction drafts generated with the assistance of AI (such as draft journal vouchers or purchase requisitions) must be reviewed and approved by an authorized employee before ledger posting.
  • Dataicraft does not utilize customer financial entries or business records to train public artificial intelligence models.

6. Intellectual Property Rights

Dataicraft retains all right, title, and interest (including patent, copyright, trademark, and trade secret rights) in and to Novus ERP, the underlying database schemas, proprietary algorithms, API specifications, and documentation. Customer retains all rights and title to all customer-supplied transactional data, files, and customer confidential information.

7. Service Availability & Support

For Managed Cloud tiers, Dataicraft targets a 99.9% application uptime, excluding scheduled off-peak maintenance windows announced with at least 48 hours notice. Technical support is delivered according to the response severity tiers defined in your enterprise SLA (ranging from 1-hour critical response to 24-hour standard resolution).

8. Term, Termination, and Data Handover

Subscriptions renew automatically for annual terms unless either party provides sixty (60) days written notice prior to the expiration of the current billing cycle. In the event of contract conclusion, Dataicraft guarantees an orderly transition: Customer may request a complete database dump in standard open formats (PostgreSQL / ClickHouse schemas) within 30 days of termination.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to conflict of law principles. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Islamabad, Pakistan.
